Welcome to Verbixo. By accessing or using our platform, website, and associated automation tools (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

1. Description of Service

Verbixo provides a B2B automation platform that enables businesses to connect various third-party software applications (e.g., WhatsApp, Shopify, Google Sheets) to streamline workflows. Verbixo acts solely as a "Tech Provider" and data processor facilitating these automations on your behalf.

2. Third-Party Platform Compliance (Meta, Google, etc.)

Our Service allows you to integrate with third-party platforms. By connecting these platforms to Verbixo, you explicitly agree to adhere to their respective terms of service. Specifically:

• Meta / WhatsApp: By connecting your WhatsApp Business or Facebook/Instagram accounts, you agree to comply with the WhatsApp Business Terms of Service and the Meta Platform Terms.
• End-User Consent: You are solely responsible for obtaining all necessary, legally valid consents (opt-ins) from your customers before sending them messages or marketing materials via WhatsApp or Instagram through Verbixo.
• No Spam or Abuse: You agree not to use Verbixo to send unsolicited messages (SPAM), illegal content, or any material that violates Meta's Commerce or Business Policies. Meta reserves the right to suspend or terminate your messaging capabilities at their discretion, and Verbixo is not liable for such actions.
• Google APIs: By connecting Google services, you agree to the Google Terms of Service.

3. User Responsibilities & Acceptable Use

You agree to use Verbixo only for lawful purposes. You shall not:

• Use the Service to transmit malicious code, viruses, or illegal content.
• Attempt to reverse-engineer, exploit, or bypass any rate limits or security measures of Verbixo or our connected third-party APIs.
• Use the Service to misrepresent your identity or affiliate with any entity falsely.

4. Subscriptions, Payments & Refunds

Certain features of Verbixo require a paid subscription. Payments are processed securely via third-party gateways (e.g., Razorpay). Subscriptions auto-renew unless canceled before the billing cycle. Due to the digital nature of the automation services and infrastructure costs, all payments are non-refundable unless otherwise required by law.

5. Intellectual Property

Verbixo retains all ownership rights, title, and interest in and to the platform, including our proprietary automation engine, interface designs, and algorithms. You retain all rights to the specific data and content you process through the platform.

6. Limitation of Liability

Verbixo is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Verbixo, its founders, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from:

• Your use or inability to use the Service.
• Any changes, downtime, or API deprecations introduced by third-party platforms (e.g., if WhatsApp changes their API pricing or access rules).
• Unauthorized access to your data due to compromised account credentials.

7. Termination

We reserve the right to suspend or terminate your access to Verbixo at any time, with or without notice, if we determine that you have violated these Terms (especially regarding SPAM or illegal activities on connected platforms like Meta). Upon termination, your automations will cease to function, and we may delete your data in accordance with our Privacy Policy.

8. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of material changes. Continued use of the Service after changes are published constitutes your acceptance of the new terms.

10. Governing Law & Jurisdiction

These Terms of Service and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of India. Any legal proceedings arising from or related to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

11. Indemnification

You agree to indemnify, defend, and hold harmless Verbixo, its founders, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your misuse of the Service or any violation of these Terms.
• Your violation of any terms, policies, or guidelines of third-party platforms integrated through Verbixo, including but not limited to Meta, WhatsApp, Google, and Shopify.
• Any unauthorized, unsolicited, or illegal messaging activities conducted through the Service, including SPAM or messages sent without proper end-user consent.
• Any claim by a third party arising from your use of the Service or the content you transmit through it.
